All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and designs, are owned by us or our licensors and are protected by intellectual property laws.
You retain all rights to any content, data, or materials you provide to us. By providing such materials, you grant us a license to use them solely for the purpose of providing our services to you.
Unless otherwise agreed in writing, all custom software, systems, and deliverables created specifically for you under a service agreement will be owned by you upon full payment, subject to our retention of any pre-existing intellectual property.
You agree to pay all fees associated with the services as specified in your service agreement or quote. All fees are in the currency specified and are exclusive of applicable taxes unless otherwise stated.
Payment terms will be specified in your service agreement. Late payments may be subject to interest charges and may result in suspension of services.
Refund policies will be specified in your service agreement. Generally, fees for completed work are non-refundable.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of our services.
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of our services or violation of these Terms.
These Terms remain in effect while you use our services or until terminated by either party.
Either party may terminate a service agreement according to the terms specified in that agreement. We reserve the right to suspend or terminate your access to our services immediately if you violate these Terms.
Upon termination, you must cease all use of our services. Provisions that by their nature should survive termination shall survive, including but not limited to confidentiality, intellectual property rights, and limitation of liability.
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or our services shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through arbitration or litigation in Yongji City, Shanxi Province, China.
These Terms, together with any service agreements and other documents incorporated by reference, constitute the entire agreement between you and us regarding our services.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
